§ 1 Scope
- These Terms and Conditions apply to use of the Windows apps Zack KI and Zack Typing and the shared Zack service by consumers within the meaning of section 13 of the German Civil Code (BGB).

- Zack KI processes text, files and images using AI models. Zack Typing records speech, transcribes audio and can insert the text into another program. Both apps are supplied by the same provider.
- Paid offers use Paddle as Merchant of Record. In the purchase transaction, Paddle acts as seller or reseller; the Paddle Buyer Terms shown during that transaction apply to the purchase. The provider of both apps remains the contracting party for provision and use of the product.
§ 2 Services
- Zack KI supports requests to supported AI models. Zack Typing supports speech recording, transcription of recordings and audio files, and editing and insertion of the recognised text. Recognition and insertion may contain errors; users must check results before using them.
- Both apps share the same user account, plan and credit balance. Credits consumed in one app reduce the shared balance. Sign-in, settings and local histories remain separate for each app. Deep mode and web search belong to Zack KI; transcription and dictation text actions belong to Zack Typing.
- Content needed to answer a request is transmitted to the AI providers used for that request. The shared Privacy Policy for Zack KI and Zack Typing explains their processing of the transmitted data.
- Chats, dictation histories, saved recordings and the personal dictionary are stored locally on the device. Online functions process the necessary content. Transcription results are also retained temporarily by the service so repeated requests can be answered without running the model again. Details and retention periods are set out in the shared Privacy Policy.
- Users may optionally use their own API key. Requests made with their own API key do not consume Zack credits. The user's separate agreement with the external API provider determines costs, terms and availability.
- The apps are offered for Windows. Online functions require an internet connection and the relevant access. Local transcription in Zack Typing requires a previously downloaded and activated model, a supported language and suitable hardware. It does not include online text actions. Automatic insertion depends on the target program and its access permissions.
§ 3 Formation of the contract
- Free use of the shared service begins when the Zack Free plan is set up or used.
- Orders and payments for paid plans and the 12-month credit pack are processed through Paddle. The terms, prices and payment information displayed during checkout form part of the respective purchase transaction.
- The contract for use and provision of both apps and the shared service is between the user and the provider of both apps. As Merchant of Record, Paddle handles payment, invoicing, tax processing and refunds in particular.
§ 4 User account
- Online functions may require a shared Zack user account. Users must sign in to each app separately. Any limited dictation trial available without an account does not establish a permanent free allowance.
- Users must provide accurate account information and protect their sign-in credentials against access by third parties.
- Users must not use their account for abusive or unlawful purposes.
- Access may be temporarily restricted or suspended where there are reasonable grounds to suspect abuse, manipulation or a serious breach of these terms. Users' statutory rights remain unaffected.
§ 5 Plans and credits
- Both apps share the Zack Free plan, the paid Zack Basic and Zack Pro plans with monthly or annual billing, and a separately purchasable 12-month credit pack without a subscription.
- Zack Free and the paid plans include a weekly credit allowance. The Free allowance resets every Monday. Paid allowances reset every seven days from the contract start or a later plan change, on the weekday of the purchase. Unused weekly credits expire at each reset and do not carry over to the following week.
- Credits from a 12-month credit pack are excluded from the weekly reset. The pack contains 15,000 credits usable for 12 months after purchase. The pack ends when that period expires; any unused credits can no longer be used.
- Applicable prices, credit amounts and usage periods are shown on the Zack KI website's pricing page and, for paid offers, during the respective checkout.
- Credits are not a monetary balance. They cannot be paid out in cash or transferred between users.
- Requests made using the user's own API key do not consume Zack credits.
§ 6 Prices and payment
- Current prices, credit amounts and durations for paid offers are displayed on the Zack KI website's pricing page and during checkout.
- Payment, invoicing, tax processing and refunds are handled entirely by Paddle as Merchant of Record.
- Paddle's terms, displayed during the purchase process, may additionally apply to the payment transaction.
§ 7 Duration and cancellation
- A monthly Zack Basic or Zack Pro subscription has an initial term of one month. An annual subscription has an initial term of one year.
- Unless cancelled at the end of the initial term, the subscription continues for an indefinite period. It can then be cancelled at any time with no more than one month's notice. A longer billing period does not limit this cancellation right.
- Cancellation may be declared using the cancellation function on the Zack KI website or in text form, including by email to hello@zack-ki.com. Use of the website form is not mandatory.
- After cancellation, the subscription remains usable until the effective contract end. Fees paid in advance for periods after that end will be refunded proportionately.
- The 12-month credit pack is not a subscription and does not need to be cancelled.
- The Zack Free plan may be ended at any time without notice by deleting the user account.
- Statutory cancellation and termination rights remain unaffected.
§ 8 Withdrawal and refunds
- Consumers have statutory rights of withdrawal where the legal requirements are met.
- A declaration of withdrawal may be submitted through a permanently accessible withdrawal function on the Zack KI website. Receipt is confirmed electronically to the consumer without delay on a durable medium.
- A paid subscription is an ongoing service. The statutory provisions for withdrawal from service contracts apply.
- The 12-month credit pack is digital content. Under the statutory provisions, the right of withdrawal may expire if the consumer expressly consents to performance beginning before the withdrawal period ends and acknowledges that this consent causes the right of withdrawal to be lost when performance begins.
- Any refund owed following an effective withdrawal is processed by Paddle as Merchant of Record.
- The complete withdrawal instructions and, where required by law, the model withdrawal form are supplied separately.
§ 9 User obligations
- Users may use both apps and the shared service only in accordance with applicable law.
- In particular, the apps and service must not be used to create unlawful content, infringe third-party rights, circumvent technical protection measures or abusively burden the service, its infrastructure or connected services.
- Users are responsible for ensuring they are entitled to record and transmit speech, text, files and other content to Zack KI and the AI providers used.
- Automated or technical measures intended to manipulate the credit system, circumvent usage restrictions or obtain unauthorised access to Zack KI are prohibited.
§ 10 AI-generated content
- Answers, transcripts and edited text are generated automatically by AI models. AI-generated content may be incomplete, outdated, misleading or factually incorrect.
- Users are responsible for checking important information against suitable sources before using it.
- AI answers from Zack KI are expressly not legal, medical, tax or investment advice and do not replace advice from appropriately qualified professionals.
- Users must not rely on an AI answer without checking it when making decisions with significant legal, health, financial or other consequences.
§ 11 Availability and changes
- The provider aims to make Zack KI reliably available. Uninterrupted or error-free availability is not guaranteed.
- Availability may be affected by maintenance, technical faults, internet connections, outages or changes at external AI, web, hosting or infrastructure providers.
- Functions may be technically adapted or developed further provided this does not unreasonably impair the contractually agreed use. Users' statutory rights remain unaffected.
§ 12 Liability
- The provider has unlimited liability for injury to life, body or health resulting from an intentional or negligent breach of duty, and for other damage caused intentionally or through gross negligence.
- For a slightly negligent breach of an essential contractual obligation, liability is limited to foreseeable damage typical of the contract. Essential contractual obligations are obligations whose fulfilment makes proper performance of the contract possible and on whose fulfilment users may normally rely.
- In other cases, liability for slight negligence is excluded to the extent permitted by law.
- These limitations do not apply where liability is mandatory under applicable law.
- Due to the technical nature of generative AI, answers cannot be guaranteed to be correct, complete or suitable for a particular purpose. The liability provisions of this section remain unaffected.
§ 13 Privacy and data processing
- Both apps are covered by the same Privacy Policy. It explains local storage, online processing, temporary storage of transcription results, dictionary functions and trial access in particular.
- The content necessary to process a request is transmitted to the AI providers used. The shared Privacy Policy explains how transmitted data is handled.
- Further information about personal data processing, service providers and data subject rights is available in the shared Privacy Policy for Zack KI and Zack Typing on the Zack KI website.
- Consent to advertising measurement offered on the websites is separate and voluntary. Accepting these terms does not grant consent to advertising measurement. Refusing or later withdrawing that consent does not restrict downloading, account access, purchases or use. The shared Privacy Policy explains the scope and withdrawal options in the section "Advertising measurement (ChatGPT Ads)".
§ 14 Applicable law
- These terms and the contractual relationship between the provider and the user are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods.
- For consumers, this choice of law applies only insofar as it does not deprive them of mandatory consumer protection provided by the law of their country of habitual residence.
- Mandatory rules on jurisdiction remain unaffected.
§ 15 Contract language, contract text and dispute resolution
- Depending on the checkout selected, the contract may be concluded in German or English.
- The provider stores the order details and the version of these terms applicable when the order was placed. Users receive the contract text with their order confirmation by email and may save or print it.
- The version accepted when placing an order applies to that user. Later changes affect existing contracts only subject to the applicable legal requirements.
- The provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
§ 16 Final provisions
- If a provision is or becomes wholly or partly invalid, the remaining provisions remain unaffected. The statutory provisions apply in place of the invalid provision.
- Changes to these terms are subject to statutory requirements. Where user consent is required, changes do not become part of the contract without that consent.
